Terms and Conditions of Sale

These General Terms and Conditions of Sale (T&Cs) govern all contractual relationships between NexIT (hereinafter "the Service Provider") and any professional or individual client (hereinafter "the Client") using its services.
Any service order implies full and complete acceptance of these T&Cs, to the exclusion of any other document.
1. Service Provider Identification

2. Services Offered
NexIT offers services in the following areas:
- Creation and development of websites and mobile applications
- Custom software development
- Integration of artificial intelligence solutions
- Search engine optimization (SEO)
- IT assistance and maintenance
- Digital transformation consulting
The detailed description of services is specified in the quote or purchase order provided to the Client.
3. Contract Formation
3.1 Quote
Any quote issued by NexIT is valid for 30 days from its issue date. The quote details the services, indicative deadlines, and price.
3.2 Acceptance
The contract is formed on the date NexIT receives the quote signed by the Client, accompanied by payment of the specified deposit.
3.3 Modification
Any request to modify the initially defined scope will be subject to a pricing amendment submitted to the Client for approval before execution.
4. Pricing
4.1 Prices
Prices are stated in euros, excluding tax. Applicable VAT will be specified on the quote and invoice.
4.2 Price Revision
NexIT reserves the right to modify its rates. Services in progress at the time of a price revision remain subject to the prices agreed in the signed quote.
5. Payment Terms
5.1 Deposit
A deposit of 30% of the total amount including tax is due upon signing the quote and is required to start work.
5.2 Payment Schedule
Unless otherwise stated in the quote:

5.3 Methods
Payment is made by bank transfer (details provided on invoice) or by any other means agreed between the parties.
5.4 Late Payment
In case of late payment beyond the due date:
- Late payment penalties apply automatically at a rate of 3 times the legal interest rate in force.
- A fixed compensation of €40 for recovery costs is due (art. L.441-10 of the Commercial Code).
- NexIT reserves the right to suspend ongoing services until full payment of amounts due.
6. Execution Deadlines
Deadlines indicated in the quote are provided for information only and may change, particularly in case of:
- Delay in providing elements expected from the Client (texts, images, access...)
- Changes requested by the Client during the project
- Force majeure
NexIT undertakes to inform the Client without delay of any significant delay.
7. Obligations of the Parties
7.1 NexIT's Obligations
NexIT undertakes to:
- Execute the described services with diligence and professionalism.
- Respect the confidentiality of information transmitted by the Client.
- Inform the Client of work progress.
- Deliver results in accordance with agreed specifications.
NexIT's obligation is an obligation of means.
7.2 Client's Obligations
The Client undertakes to:
- Provide elements necessary for service completion in a timely manner (content, access, information...).
- Designate a single contact person with decision-making authority.
- Pay amounts due at agreed deadlines.
- Verify that provided content (texts, images, etc.) does not infringe third-party rights.
8. Intellectual Property
8.1 Rights Transfer
Upon full payment for the service, NexIT transfers to the Client exploitation rights for deliverables created specifically for them (source code, mockups, visuals), for use in France, for an indefinite period.
8.2 Retention of Title
NexIT retains ownership of deliverables until full payment. In case of non-payment, the Client must cease all use of completed work.
8.3 Third-Party Tools and Frameworks
Services may integrate open-source tools, frameworks, or libraries subject to their own licenses (MIT, Apache, GPL...). NexIT will inform the Client of applicable licenses as appropriate.
8.4 Right of Reference
Unless the Client expressly objects, NexIT reserves the right to mention the project completion in its commercial references and portfolio.
9. Liability
9.1 Limitation of Liability
NexIT's liability is limited to the amount actually received for the service concerned.
NexIT cannot be held responsible for indirect damages, particularly: data loss, loss of revenue, damage to image.
9.2 Client Content
NexIT cannot be held responsible for content provided by the Client (texts, images, data). The Client guarantees NexIT against any third-party claims relating to such content.
10. Maintenance and Hosting
Unless specifically agreed in the quote, NexIT's services do not include hosting or corrective or evolutionary maintenance of the delivered project. These services may be subject to a separate contract.
11. Confidentiality
Each party undertakes to treat as confidential all information, documents, and data transmitted by the other party in the context of the project, for the duration of the contract and 3 years after its termination.
12. Termination
12.1 Termination for Breach
In case of serious breach by a party of its obligations, the other party may terminate the contract by registered letter with acknowledgment of receipt, after formal notice remaining without effect for 15 days.
12.2 Termination by the Client
The Client may terminate the contract at any time in writing. In this case, work completed until the termination date will be invoiced in proportion to work accomplished. Deposits paid remain acquired by NexIT.
13. Force Majeure
NexIT cannot be held responsible for non-performance of its obligations in case of force majeure as defined in Article 1218 of the Civil Code (pandemic, natural disaster, widespread internet outage, cyberattack...).
14. Mediation and Dispute Resolution
In case of dispute, the parties undertake to seek an amicable solution before any legal action.
Failing an amicable agreement within 30 days, any dispute will be submitted to the competent courts of the jurisdiction of NexIT's registered office, even in case of multiple defendants or third-party claims.
15. Applicable Law
These T&Cs are governed by French law. The contract language is French/English.
